ClikitySplit.com is designed for businesses of all sizes to market their products and services online via our patented real time "dynamic billboards".

Code of Conduct

You agree that in using ClikitySplit, you will not:

• publish or upload any inappropriate, vulgar, profane, threatening, defamatory, racist, sexist, discriminatory, obscene, indecent or unlawful material or information
• infringe any ClikitySplit or its owner's patent, copyright, trademark, trade secret, or other intellectual property or proprietary right, or that of any other ClikitySplit customers or marketers
• post any private or confidential information of your employer or any other person or organization without their explicit consent to do so
• damage, disable, or impair ClikitySplit, or interfere with anyone's use and enjoyment of ClikitySplit
• attempt to manipulate ClikitySplit by violating any of the provisions of this Agreement or by colluding with others or using multiple accounts
• create a false identity for the purpose of misleading others, solicit, harvest or otherwise collect information about other ClikitySplit customers, including e-mail addresses, credit card numbers, or other personal information
• publish any content that contains or could be considered junk, spam, pyramid schemes, affiliate marketing or unsolicited commercial advertisement
• otherwise violate any laws or regulations that apply to your participation in ClikitySplit or violate ClikitySplit policies

Administration of ClikitySplit

The management of ClikitySplit will administer ClikitySplit.com. ClikitySplit may:

• communicate training opportunities to its customers
• invite you to participate in research and surveys
• solicit feedback from its customers about how to improve ClikitySplit
• solicit "Best Practices" from its customers
• seek and solicit other important information

Evolution and Changes to ClikitySplit.com

ClikitySplit is an evolutionary product and, accordingly, changes and improvements will be the norm, not the exception.  Any major changes to ClikitySplit or its policies will be communicated to its customers via a 30-days’ advance e-mail.  ClikitySplit.com website changes are effective on the date the changes are posted and do not apply retroactively.

Term & Termination

This Terms of Use Agreement takes effect on the date you accept this Agreement (“Effective Date”) and continues for one year (“Term”).  This agreement is renewable annually at the sole discretion of ClikitySplit.  ClikitySplit reserves the right, at its sole discretion, to terminate your access to ClikitySplit (a) without cause, or (b) for cause if you violate ClikitySplit's terms of this Agreement. ClikitySplit retains all other rights and remedies.

General

• No warranties. ClikitySplit.com is provided "as-is", with all its unique features and faults and as available, and without warranties of any kind. ClikitySplit expressly disclaims all other express, implied, or statutory warranties. This includes the warranties of merchantability, fitness for a particular purpose title and non-infringement. Others that may be included are lack of viruses, quiet enjoyment, scope of license, lack of errors, satisfactory condition or quality. The disclaimer also includes any implied warranty or conditions arising from course of dealing or usage of trade.

• Limitation of liability. You cannot recover any damages from ClikitySplit, including exemplary, consequential, lost profits, special, indirect, incidental or punitive damages. You may have additional consumer rights under your local laws that this Agreement cannot change.
• No partnership. You understand that any use of the term “partner” is for reference purposes only.  You and ClikitySplit are independent contractors. This Agreement does not create an employer-employee relationship, partnership, joint venture, or agency relationship and does not create a franchise.
• Applicable Law Jurisdiction. The laws of the State of Tennessee govern this Agreement. If federal jurisdiction exists, the parties consent to exclusive jurisdiction and venue in the federal courts in Davidson County, Tennessee. If not, the parties consent to exclusive jurisdiction and venue in the Chancery Court of Williamson County, Tennessee.
